After the court hearing on Hybe's request to hold an extraordinary general meeting, Ador's lawyer shared with he press that they will convene a board meeting on 10 May and a general meeting by the end of the month. This is later than the 30 day deadline Hybe had requested but

Hybe said it wasn't too far off from the timeline they had sought. Ador's lawyer said that it would share the timing of the general meeting and the results of the board meeting by 13 May and that it would be filing an additional brief in support of its position.

Before the hearing, Ador's lawyer said that they had intended to hold the board meeting as requested but that the request was so sudden and they didn't have time to prepare. NewJeans was coming back, the MV was coming out, there were accusations in the press, etc. and

if one is dealing with all of that how is one to prepare for a board meeting? Hybe's legal officer said that they would wait to see if Ador kept their word. They don't think Ador is lying since they told the court they would hold the board meeting and general meeting.

Maeil Economy says that the dismissal of a director is made by special resolution with 66% of the vote. Hybe holds 80% and it will be difficult for MHJ to prevent the dismissal. mk.co.kr/news/society/1…

A shareholder with a min of 3% could request the EGM by submitted the request to the board of directors. Additionally, an auditor has the right to call for a EGM. A director may be removed without cause but if they are removed without cause, they can sue for damages.

At the board meeting, the auditor's agenda items will be presented, however, as the board is filled 3:1 with MHJ supporters, I don't anticipate her being fired or the directors being dismissed on 10 May but rather at the EGM at the end of the month.
